由 15 名董事組成的 OCLC 董事會中的成員所擁有的權限與大學董事會成員的權限相仿。董事會除了有成員委員會選舉產生的 6 位成員外，還有 OCLC 的董事長和由董事會本身選舉產生的 8 位董事，其中的 5 位來自圖書館專業以外的領域。董事會每年召開 5 次會議。
